Terms & Conditions

By working with Carylis Palacios, you agree to the terms outlined below. If something’s not in writing, it’s not part of the deal.

Scope of Work

Everything we do—services, deliverables, formats, and platforms—is defined exclusively in the Statement of Work (SOW) we mutually agree on and sign before kicking things off. No more, no less. If it’s not in the SOW, it’s not included.

Agreement

Each project includes a custom proposal and SOW that clearly outlines:

  • Scope of work
  • Deliverables
  • Timeline
  • Payment terms
  • Platform access, approval, and communication workflows

Once signed, these terms are binding.

Strategy Customization

Content length, tone, format, and approach are customized based on what serves your strategy best—within the scope of the signed SOW. Creative decisions are made at our discretion unless otherwise specified.

Copywriting & Content Creation

What’s included:

  • Strategy, copy, and creative content development
  • Edits and revisions (as outlined in your SOW)
  • Suggestions for headlines, CTAs, captions, emails, blogs, etc.
  • Formatting and prep for your approved platforms

What’s not included:

  • Legal review or compliance checks
  • Fact-checking proprietary claims or data
  • Guarantees about audience reactions or public perception
  • Responsibility for third-party content accuracy (quotes, stats, testimonials, etc.)

Your responsibilities:

  • Review every asset before it’s published
  • Confirm accuracy, compliance, and brand alignment
  • Approve final copy and creative in writing

Nothing gets published under your name or on your platforms without your explicit approval. Period. You’re the final gatekeeper. If it’s live, it’s because you signed off.

Graphic Design & Video Editing

Included:

  • Captions and minimalist graphic design
  • Basic design and video editing (cuts, text overlays, transitions—if defined in the SOW)

Not included:

  • Advanced photo/video editing or manipulation
  • Studio-style videography
  • Web design or development

Your responsibilities:

  • Providing original or licensed visuals (photo/video)
  • Supplying pre-edited media if required
  • Accepting that stock content may be used where relevant (we use royalty-free sources and are not liable for third-party copyright claims)

CMS Platforms Supported

  • WordPress
  • Shopify
  • Squarespace
    Others may be considered with prior agreement.

Email Marketing Platforms Supported

  • Mailchimp
  • Klaviyo
  • ActiveCampaign
  • Constant Contact
  • SendFox

If you’re using a different tool, we’ll need to confirm compatibility in advance.

Social Media Platforms Supported

  • LinkedIn
  • Instagram
  • Facebook
  • Pinterest
  • YouTube (copywriting and strategy only)
  • Podcast (copywriting and strategy only)
  • ManyChat (automation flows for Instagram and Facebook)

Supported platforms are listed in your SOW. Anything beyond that must be discussed ahead of time.

Deliverables & Format

Unless stated otherwise, we’ll choose the delivery format and tools (e.g., Notion, Canva files, Google Docs, PDFs, Drive folders) based on efficiency and collaboration.

Billing Cycle & Contract Period

  • Content planning and production starts once your billing cycle is active.
  • Publishing may run past the cycle depending on scheduling.
  • Either party may end the contract at any time.

Refunds and reimbursements:

  • Reimbursements are handled case-by-case.
  • No refunds for work already drafted, created, or delivered.

Additional Costs

You’re responsible for external or third-party costs not included in your package (e.g., paid tools, ad spend, paid stock photos).

Deadlines & Delays

  • We depend on timely input, feedback, and access.
  • Missed approvals, slow responses, or delayed materials from your end? That’ll delay delivery, and that’s on you.

Payment Delays

  • Late payments pause all project work.
  • We’re not responsible for any lost opportunities caused by your delays.

Force Majeure

We’re not liable for missed deadlines or failures caused by things outside our control—think natural disasters, internet outages, strikes, or major global events.

Confidentiality

Both parties agree to keep each other’s confidential info safe. No leaks, no sharing, unless we’ve got written permission.

Portfolio Use

Unless we’ve agreed otherwise in writing, Carylis Palacios reserves the right to:

  • Reference your brand
  • Showcase final, public-facing work as part of her portfolio or promotional content

Intellectual Property

  • All creative content remains the intellectual property of Carylis Palacios unless stated otherwise in your SOW.
  • You receive a non-exclusive, worldwide, royalty-free license to use delivered materials as outlined in your agreement.

Dispute Resolution

In case things go sideways, both parties agree to:

  1. Start with a good-faith conversation
  2. Move to mediation or arbitration if needed
  3. Use legal action only as a last resort

Limitation of Liability

We’re not liable for:

  • Lost profits
  • Indirect or incidental damages
  • Any consequences tied to how you use the content

Use it wisely.

Governing Law

These terms are governed by the laws of Soacha, Colombia—the operating base of Carylis Palacios.

Amendments

Terms can be updated at any time. Major updates will be communicated. Your continued use of services means you accept the revised terms.

Data Protection

Your data is used strictly for project-related communication and managed in line with privacy laws.
